Portal Terms of Use
These terms are for individuals — members, supporters, clients, guardians — using a portal run by an organisation on Intellayer. If your organisation subscribes to Intellayer itself, the Intellayer terms apply to you instead.
Two agreements, not one. Your membership, booking, subscription or account is with the organisation — the business or association you deal with. These terms cover only your use of the software they run it on. If your question is about what you paid for, what you are entitled to, or a refund, it is a question for that organisation, not for us. Section 3 explains where the line falls.
1. Who we are
The portal is operated by AS Creative Technologies LTD, trading as Intellayer (“Intellayer”, “we”, “us”), a private limited liability company registered in the Republic of Cyprus, of Alamanas 50, Dali, Nicosia 2547, Cyprus. Full details are on the legal information page.
We supply the platform. The organisation whose portal you are using supplies whatever you are actually there for. We call that organisation “the Organisation” throughout.
2. What these terms cover
These terms govern your use of:
- a member, supporter, client or customer portal hosted by us for an Organisation;
- any public booking or registration page the Organisation publishes through us;
- messages we send you on the Organisation’s behalf as part of that portal.
(the “Portal”).
By using the Portal you accept these terms. If you do not accept them, you can still deal with the Organisation directly by whatever other means it offers — using the Portal is not the only way to be its member or customer, and the Organisation should tell you the alternatives.
3. Who is responsible for what
3.1 The Organisation is responsible for. Your membership, booking, ticket, subscription, fee or other arrangement, and everything about it: what it includes, what it costs, whether you get a refund, eligibility rules, codes of conduct, and any decision it takes about you. The Organisation’s own terms govern that relationship. We are not a party to it.
The Organisation also decides what information to record about you, why, and for how long. In data protection terms it is the controller and we are its processor — see the privacy policy.
3.2 We are responsible for. Providing the Portal software with reasonable skill and care, keeping it reasonably secure and available, and handling the data we hold about you in our own right — your login credentials and security records — properly.
3.3 Where to take a complaint. About your membership, a payment, a decision, or the Organisation’s conduct: to the Organisation. About the Portal not working, or about how we as the platform have handled your data: to us at [email protected]. If you are not sure which it is, ask us and we will point you.
3.4 We do not vet Organisations. We do not verify an Organisation’s registrations, licences, insurance, safeguarding arrangements or financial standing, and the fact that an Organisation uses our platform is not a recommendation of it by us.
4. Your account
4.1 Access. The Organisation may create your account or invite you to create one. Either way, keep your password confidential, do not share your login, and tell us at [email protected] if you think someone else has access.
4.2 Age. You must be 18 or over to hold an account in your own name and to agree to these terms, because doing so is entering a contract.
Where the Portal covers a person under 18 — a child registered for a youth programme, for instance — the account is held by a parent or guardian, who accepts these terms and is responsible for it. The child’s own information is recorded within it by the Organisation, which is responsible for having a proper basis to do so. Cyprus sets 14 as the age at which a person can consent to an online service in their own right (Law 125(I)/2018, section 6); that is not the same as being able to enter a contract, which is 18.
4.3 Accurate information. Keep your contact details current, and tell the Organisation if something it holds about you is wrong. Most of it you can correct in the Portal yourself.
4.4 If the Organisation stops using Intellayer. Your Portal access ends when the Organisation’s subscription does. That is the Organisation’s decision, not ours, and it should tell you what happens next. Your relationship with the Organisation continues or ends on its own terms.
5. What you must not do
Do not use the Portal unlawfully; do not try to access anyone else’s account or records; do not probe or test its security without our written permission; do not upload malware or unlawful, defamatory or infringing content; do not scrape or extract data by automated means; and do not interfere with the Portal’s operation.
We may suspend your access if you do. Where the problem can be fixed and is not causing ongoing harm, we will tell you and give you a chance to fix it first.
6. Payments
Where you pay through the Portal, the payment is collected for the Organisation, and the Organisation is the seller. Card processing is handled by Stripe; we never see your full card number.
Refunds, cancellations and disputes about what you paid for are between you and the Organisation, under its terms and under consumer law as it applies to that Organisation. We can confirm what a transaction record shows; we cannot decide whether you are owed a refund, and we cannot give you one.
7. Content
What you put into the Portal stays yours. You give us permission to host, store and display it only as needed to run the Portal — and you give the Organisation whatever rights its own terms provide for.
The Portal software, its designs and its documentation are ours or our licensors’. You get a limited, revocable licence to use it for its intended purpose. The Organisation’s own name, badge and branding belong to the Organisation.
8. Availability
We aim to keep the Portal available but do not guarantee uninterrupted or error-free operation, and we may take it down for maintenance. Because the Portal is provided to you free of charge under a subscription the Organisation pays for, we ask you to read section 9 with that in mind.
9. Our responsibility to you
9.1 Never excluded. Nothing here limits our liability for death or personal injury caused by our negligence, for fraud, for your statutory rights, or for anything that cannot lawfully be limited.
9.2 What we are responsible for. If we fail to provide the Portal with reasonable skill and care, we are responsible for foreseeable loss you suffer as a result.
9.3 What we are not. We are not responsible for the Organisation’s acts or omissions — including its decisions about you, its handling of your money, its conduct, or its use of the information it holds about you. We are not responsible for loss that was not foreseeable, or for loss of profit or business.
9.4 Cap. Subject to 9.1, our total liability to you for all claims connected with the Portal in any 12-month period is limited to the greater of (a) anything you have paid us directly — normally nothing, since the Organisation pays for the Portal — and (b) two hundred and fifty euro (€250).
We set a floor rather than a fee-based cap precisely because you pay us nothing; a cap of “what you paid us” would be a cap of zero, and that is not a fair term to put in front of someone who has no say in the matter.
9.5 If you are a consumer. You are dealing with the Organisation as a consumer, and your consumer rights against the Organisation are unaffected by anything here — we could not affect them if we wanted to, since we are not party to that contract.
10. Privacy
The privacy policy for portal users explains who controls what, and the cookie notice covers device storage. In short: the Organisation controls the records about you; we control your login and security data; and rights requests about the Organisation’s records go to the Organisation.
11. Changes and ending
We may update these terms, and will tell you in the Portal or by email at least 30 days before a material change. You can stop using the Portal at any time; to delete records the Organisation holds about you, ask the Organisation.
12. General
Cyprus law governs these terms. The courts of Nicosia have jurisdiction, but if you are a consumer you may bring proceedings where you live, and we will bring any claim against you there. Published in English and Greek; both are authentic, and if you are a consumer resident in Cyprus the Greek version governs any difference. An unenforceable clause is cut back to the minimum necessary and the rest stands.
13. Contact
About the Portal: [email protected]. About your data: [email protected]. Security: [email protected].
About your membership, booking, payment or anything the Organisation decided: contact the Organisation.
